AMENDMENT

TO

XXX AGREEMENT（契約名称）

THIS AMENDMENT TO XXX AGREEMENT (“Amendment”) is made and entered into as of this XXth day of 月, 20XX by and between A社, a A社本店所在 corporation (“A”), and B社, a company organized under the laws of B社本店所在(“B”).

                                    RECITALS

A. WHEREAS, A and B have entered into that certain XXX Agreement dated as of 月 XX, 20XX (“XXX Agreement”); and

B. WHEREAS, B and A desire to amend certain provisions of the XXX Agreement as set forth in this Amendment.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth in this Amendment, the Parties agree as follows.

1. Section 1.1 of the XXX Agreement is amended and restated to read in its entirety as follows:

2. Attachment A to the XXX Agreement is amended and restated to read in its entirety as set forth on Exhibit A to this Amendment.

3. Section X is hereby amended to add new Subsection X.X. as follows:

5. Except as expressly amended by this Amendment, the XXX Agreement is and shall remain in full force and effect in accordance with its terms.
